1 Acceptance of Terms

By using any ViSenAI service — including accessing our website at visenai.io, subscribing to our AI automation platform, or receiving communications via WhatsApp Business — you confirm that:

• You are at least 18 years of age or the age of majority in your jurisdiction.
• You have the authority to enter into a binding agreement on behalf of yourself or your organisation.
• You have read, understood, and agree to these Terms in their entirety.
• You consent to receive transactional and service messages via WhatsApp where you have explicitly opted in to such communications.

2 Our Services

ViSenAI provides AI-driven automation, enterprise application development, marketing automation, data analytics, and industry-specific digital solutions. Our current product offerings include:

• RealtySales AI – WhatsApp-first AI sales agent for real estate developers, channel partners, and brokers.
• WealthSales AI – AI-powered sales assistant for financial advisors and wealth management teams.
• AI Automation Platform – Workflow automation, chatbot deployment, and intelligent process automation.
• Enterprise Applications & Analytics – Custom software development and data intelligence solutions.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to active subscribers.

3 WhatsApp Business Messaging

ViSenAI integrates with the Meta WhatsApp Business API to deliver business messaging services. Our WhatsApp-based services are subject to Meta's WhatsApp Business Policy and Terms of Service in addition to these Terms.

3.1 Consent & Opt-In

We only send WhatsApp messages to users who have explicitly opted in to receive communications from ViSenAI or from our clients operating through our platform. Opt-in may occur via:

• Web forms where you provide your mobile number and consent to WhatsApp contact.
• Inbound messages you send to our WhatsApp Business number.
• Verbal or written consent collected by our clients during lead generation.

3.2 Message Types

We send only the following categories of messages via WhatsApp:

• Transactional notifications (appointments, confirmations, updates).
• Lead qualification and sales follow-up (with prior consent).
• Customer support replies within 24-hour service windows.
• Template messages pre-approved by Meta for marketing purposes.

ViSenAI strictly prohibits the use of its platform for unsolicited bulk messaging (spam). Any client found misusing our WhatsApp infrastructure will have their account suspended immediately and may be reported to Meta.

4 Account & Access

To access certain features of our platform, you may be required to create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the confidentiality of your login credentials.
• Notify us immediately at info@visenai.io if you suspect unauthorised access to your account.
• Accept responsibility for all activities conducted under your account.

ViSenAI is not liable for any loss or damage arising from your failure to safeguard your account credentials.

5 User Obligations

As a user or client of ViSenAI, you agree to:

• Use our services only for lawful purposes and in compliance with all applicable Indian and international laws.
• Obtain all necessary consents from your end-users before sending them WhatsApp communications through our platform.
• Ensure the accuracy of data you upload, import, or transmit through our systems.
• Comply with the Digital Personal Data Protection Act, 2023 (DPDPA) when processing personal data of Indian residents.
• Not reverse-engineer, decompile, or attempt to extract the source code of any ViSenAI software.

6 Prohibited Uses

You must not use ViSenAI services to:

• Send spam, unsolicited bulk messages, or phishing communications.
• Transmit malware, viruses, or any code designed to disrupt or damage systems.
• Impersonate any person, organisation, or brand.
• Collect or harvest personal data without proper legal basis or consent.
• Engage in fraudulent, deceptive, or misleading activities.
• Violate any applicable laws including those governing financial services, real estate, consumer protection, or data privacy.
• Use our platform in a manner that violates Meta's WhatsApp Business Policy.

Violation of these prohibitions may result in immediate account suspension, termination, and legal action.

7 Intellectual Property

All content, software, trademarks, logos, designs, and materials on the ViSenAI platform are the exclusive property of ViSenAI Technologies or its licensors, protected under applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use our services solely for your internal business purposes during the term of your subscription. This licence does not permit you to sublicense, reproduce, distribute, or create derivative works from our platform or content.

Any feedback, suggestions, or ideas you provide to ViSenAI may be used by us without restriction or compensation to you.

8 Limitation of Liability

To the maximum extent permitted by applicable law, ViSenAI Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the fees paid by you to ViSenAI in the three (3) months preceding the claim, or (b) ₹5,000 (Indian Rupees Five Thousand).

9 Indemnification

You agree to indemnify, defend, and hold harmless ViSenAI Technologies, its directors, employees, agents, and partners from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of our services.
• Your violation of these Terms.
• Your violation of any third-party rights, including privacy rights.
• Messages sent through our platform to your end-users without proper consent.

10 Termination

Either party may terminate a service agreement with 30 days' written notice. ViSenAI reserves the right to suspend or terminate your access immediately and without notice if:

• You breach any provision of these Terms.
• Your account is associated with illegal activity or spam.
• Continued access poses a risk to our platform, other users, or Meta's WhatsApp infrastructure.

Upon termination, your right to access the platform ceases. Data export requests must be submitted within 30 days of termination. After this period, data may be deleted in accordance with our Data Deletion Policy.

11 Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

12 Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will notify active users via email or a prominent notice on our website at least 7 days before the changes take effect.

Your continued use of our services after the effective date of revised Terms constitutes your acceptance of the new Terms.
